Statutes of the Non-Profit Association PUHKPILLIMUUSIKA KODA
in English Windmill – Estonian Chamber of Wind Orchestra (Windmill – ECWO)
1. GENERAL PROVISIONS
1.1. The Non-Profit Association Puhkpillimuusika Koda (PMK) (hereinafter referred to as the Association), in English Windmill – Estonian Chamber of Wind Orchestra (Windmill – ECWO), is a public-interest organization based at Sirge 2, 10618 Tallinn.
1.2. The objective of the Association is the development of wind music, which is pursued through the following activities:
1.2.1. Expressing its positions on issues related to the development of wind music;
1.2.2. Supporting the establishment and activities of wind orchestras/ensembles;
1.2.3. Promoting the creation and dissemination of wind music;
1.2.4. Organizing concerts, competitions, and festivals;
1.2.5. Conducting training sessions, information days, workshops, and similar events;
1.2.6. Disseminating sector-specific information.
2. RIGHTS AND OBLIGATIONS OF MEMBERS
2.1. Any natural or legal person who is willing to contribute to the realization of the Association’s objectives and complies with the statutes may become a member. Admission and exclusion of members are managed by the Board.
2.2. Members of the Association have all the rights provided by law and the right to receive comprehensive information from the governing bodies about the activities of the Association.
2.3. The amounts of the membership and admission fees are determined by the General Assembly.
2.4. A member may be expelled from the Association, in addition to cases prescribed by law, if they:
2.4.1. Fail to pay the required membership fee within the specified time;
2.4.2. Have knowingly provided the Association with false information about themselves.
2.5. The Association does not distribute its assets or income, nor does it provide material aid or financially valuable benefits to its founders, members, governing or supervisory body members, donors, or related persons.
3. MANAGEMENT
3.1. The highest authority of the Association is the General Assembly of members, in accordance with the law, where all members have the right to participate.
3.2. The convening of the General Assembly and the adoption of decisions follow the provisions of the law. The General Assembly is competent to make decisions regardless of the number of participants.
3.3. The Board of the Association is elected for a term of three years and may consist of one to five members.
3.4. The General Assembly may appoint an auditor or an internal review for the term of the Board.
3.5. The regular General Assembly is convened by the Board of the Association.
3.6. An extraordinary General Assembly is competent if at least 50% + 1 of the membership participates.
4. ECONOMIC ACTIVITIES AND DISTRIBUTION OF ASSETS
4.1. The Association is dissolved in accordance with the procedures established by law.
4.2. Upon dissolution of the Association, the remaining assets shall be transferred to a non-profit organization, foundation, or religious association with similar objectives that is listed among tax-benefited non-profit entities, or to a public legal entity.
